AIRCRAFT TEST OPERATIONS ADDENDUM

(to SAS Aircraft Maintenance LLC Terms and Conditions)

This Aircraft Test Operations Addendum (“Addendum”) supplements the SAS Aircraft Maintenance LLC Terms and Conditions (“Terms”) and applies solely with respect to Aircraft Test Operations (as defined in the Terms).

All capitalized terms not defined in this Addendum have the meanings set forth in the Terms, including Aircraft, Aircraft Test Operations, Components, Customer, SAS, Services, and Work Order.

In the event of any conflict, this Addendum controls solely with respect to Aircraft Test Operations.

1. Assumption of Risk; No Guarantee

Customer acknowledges and agrees that Aircraft Test Operations performed by or at the direction of SAS as part of the Services involve inherent risks, including mechanical failure, damage to the Aircraft or Components, loss of use, and total loss, even when Aircraft Test Operations are performed in a workmanlike manner and in compliance with applicable FAA regulations.

Customer further acknowledges that SAS does not guarantee the outcome, performance, airworthiness, or results of any Aircraft Test Operations, including engine break‑in flights.

2. Allocation of Responsibility

Except to the extent caused by the gross negligence or willful misconduct of SAS, SAS shall not be responsible or liable for damage to the Aircraft, any Component, engine, propeller, or accessory arising out of or relating to Aircraft Test Operations.

Customer agrees that Aircraft Test Operations are performed at Customer’s risk and subject to the express limitations set forth in the Terms and this Addendum.

3. Indemnification — Aircraft Test Operations

In addition to Customer’s indemnification obligations under Section 20 (Indemnification) of the Terms, Customer shall indemnify, defend, and hold harmless SAS and its owners, officers, directors, employees, agents, and representatives from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to Aircraft Test Operations, except to the extent finally determined to have been caused by the gross negligence or willful misconduct of SAS.

Nothing in this Addendum limits or modifies Customer’s broader indemnification obligations under the Terms.

4. Consequential Damages

Without limiting Section 20 (Indemnification) and Section 22 (Limitation of Liability) of the Terms, SAS shall not be liable for loss of use, loss of revenue, lost profits, diminution in value, or other consequential, incidental, or special damages arising out of or relating to Aircraft Test Operations.

5. Insurance; Risk of Loss

Customer’s insurance obligations and allocation of risk of loss with respect to Aircraft Test Operations are governed exclusively by Section 21 (Insurance and Risk of Loss) of the Terms, which is incorporated herein by reference and applies fully to all Aircraft Test Operations.

Nothing in this Addendum shall be construed to: (i) shift insurance responsibility to SAS, (ii) limit Customer’s obligations under Section 20 (Indemnification) or Section 21 (Insurance and Risk of Loss) of the Terms, or (iii) waive or impair SAS’s lien, retention, or collection rights under the Terms.

6. No Waiver of Payment or Lien Rights

Nothing in this Addendum shall be construed to waive, release, or limit SAS’s rights under the Terms, including rights to: (i) payment for Services, (ii) storage charges, (iii) statutory or contractual liens, or (iv) suspension, retention, or enforcement remedies.

7. Relationship to Terms

This Addendum supplements and must be read together with the Terms. Except as expressly modified herein with respect to Aircraft Test Operations, all provisions of the Terms remain in full force and effect.
